This is the agreement you sign at step 2, after you create your account. Your name, your email and the date are filled in then. Reading it here signs nothing, and nothing is charged before step 3, Payment.

Website Plan Agreement

Version 2026-09-12

1. Who this agreement is between

This agreement is between Advanced Systems and Professionals, LLC, doing business as Popproxx, of 806 South Pacific Highway, Talent, OR 97540 ("Popproxx", "we", "us"), and [your name], [your email] ("you"). It is dated [the day you sign].

It covers one website built on the Starter plan, and the care plan that hosts it afterwards. If we later agree on extra work, that work is added under section 9 or in a separate written quote.

2. What we are building

A website of up to 5 pages, designed and built by Popproxx, with everything the Starter plan includes on the day you sign. The included list is shown on the pricing page and in your dashboard, and it does not change during your project.

The site is built on the answers you give in intake. Intake is the questionnaire you complete after paying. Work on your design starts once intake is complete.

3. What it costs and how you pay

The build fee for the Starter plan is $2,400. You choose one of two ways to pay it: in full at signup, for $2,160 (10% off), or in two halves of $1,200, the first at signup and the second when we tell you the build is complete, before launch.

We accept cards and bank transfers through Stripe. We do not offer financing or installment plans of any other kind, and we never carry a balance for you.

If you chose two halves, your site does not launch until the second half is paid. If the second half is unpaid 30 days after we tell you the build is complete, the project closes, the first half is not refunded, and you can reactivate the project within 90 days by paying the balance. After 90 days the files are deleted.

4. The design phase and your approval

After intake, we design your site and show it to you on a password-protected preview. That is the moment we call "design presented". You then click Approve in your dashboard, or ask for changes.

Two rounds of revisions on the presented design are included. A round is one batch of requested changes. Further rounds are $100 each.

If we present a design and hear nothing from you for 14 days, the design counts as approved. We remind you on day 7 and day 12 before that happens. This only closes the refund window in section 5; you can still ask for your two included revision rounds afterwards.

Approving the design tells us to build the rest of the site as designed. Changes after approval that go beyond your included revision rounds, or beyond the scope in your intake, are add-ons or quoted work under section 9.

5. The 30-day money-back guarantee

You can cancel and receive a full refund of your build fee at any time within 30 days of completing intake, or until you approve your design, whichever comes first.

If we have not presented a design within 30 days of you completing intake, the refund window stays open until we do.

Delay on your side, such as unanswered questions or missing content, does not extend the window.

A refund ends the project. The preview is taken down and no design, code, or files are handed over. Refunds go back to the payment method you used.

Once you approve your design, the build fee is no longer refundable.

6. If the project stalls

We can only build with your content. If we ask you for content, feedback, or a decision and do not receive it within 30 days, we may continue with stock photos and placeholder text, or pause the project until we hear from you.

If we hear nothing from you for 90 days at any point, we may close the project. A closed project is not refunded beyond what section 5 already allows.

7. Who owns what

Until the build fee is paid in full, the design and the code belong to Popproxx.

Once the build fee is paid in full and the site launches, the site is yours: its design, its pages, and its code. You can ask us for a copy of the code repository at any time after launch and we will hand it over.

Popproxx keeps ownership of the tools, components, and templates we use across projects, and you have a permanent licence to keep using the ones in your site.

Everything you give us, such as text, photos, logos, and videos, stays yours. You confirm you have the right to use it and to let us use it in your site.

We may show your finished site in our portfolio and marketing. Tell us in writing if you would rather we did not, and we will stop.

8. The care plan

From the day your site launches, the care plan costs $79 per month. It covers hosting, SSL, daily backups, uptime monitoring, and security and dependency updates. It is billed monthly to the payment method you saved at signup.

The care plan does not include changes to your site. Changes after launch, such as new text, new photos, new pages, or new features, are billed at $150 per hour in 15-minute increments with a 30-minute minimum, and invoiced monthly. A prepaid block of five hours is available for $675. Anything bigger than an hour or two is quoted first or sold as the matching add-on.

For 30 days after launch we fix anything that is broken at no charge. A fix is something that does not work as designed. It is not new content or a change.

The care plan is month to month. Either of us can end it with 30 days written notice. If you end it, we hand over your code and you host the site wherever you like.

If a care plan payment fails and stays unpaid for 30 days, we take the site offline. If it stays unpaid for 90 days, we delete it from our hosting. Your code remains yours and we will hand it over on request.

9. Add-ons and quoted work

Fixed-price add-ons, such as extra pages, copywriting, and the simple shop, are listed with their prices in your dashboard. They are invoiced separately when you ask for them.

Work that depends on another platform, such as connecting a CRM, a point-of-sale system, or a booking tool, is quoted in writing before we start.

Add-ons are refundable until we start work on them and not once delivered. Quoted work follows its own quote and is not covered by the 30-day guarantee.

10. What we each promise

You will give us accurate information, respond to our questions within a reasonable time, and only give us material you have the right to use.

We will build the site described in your intake, keep you informed of where it stands, present a design for your approval, and host the launched site under the care plan for as long as it is paid.

We do not promise any particular business result, such as search rankings, traffic, leads, or sales.

11. Limits on liability

Our total liability to you under this agreement, for any reason, is limited to the amount you paid us in the 12 months before the claim.

Neither of us is liable to the other for indirect losses such as lost profits, lost data, or lost business, even if told they were possible.

12. Ending this agreement

Before you approve your design, you can end this agreement under section 5 and receive your refund.

After you approve your design, you can end it at any time, but the build fee is not refunded and any unpaid balance remains due.

The care plan ends under section 8.

13. The legal details

This agreement is governed by the laws of the State of Oregon. Any dispute will be heard in the state courts of Oregon.

This is the whole agreement between us about this project. Changes to it must be in writing and agreed by both of us; an email exchange counts.

You agree to sign this agreement electronically by typing your name and clicking Sign, and to receive it and any notices about it by email at the address above. Your electronic signature has the same effect as a handwritten one.
